Terms of Service

1. Acceptance of Terms

By installing or using the RecoverAIO Shopify app (the "App"), you ("Merchant") agree to these Terms. If you do not agree, do not install or use the App.

These Terms govern your use of all three recovery agents — Cart Recovery, Subscription Save, and Win-Back — and the underlying IntentSense agentic AI infrastructure.

2. Description of Service

RecoverAIO deploys three specialized Claude Sonnet agents to recover lost Shopify revenue:

• Cart Recovery Agent — evaluates abandoned checkouts and sends recovery sequences
• Subscription Save Agent — assesses dunning strategy for failed subscription payments
• Win-Back Agent — scores and re-engages lapsed customers

Each agent reasons independently, stores behavioral signals, and adapts to customer history. All agents route through the IntentSense Factory with direct Anthropic fallback.

3. Merchant Responsibilities

You are responsible for:

• Ensuring lawful basis and appropriate customer consent for sending recovery emails
• Configuring accurate workflow settings, discount policies, and suppression windows
• Reviewing HITL escalations — agent actions below 70% confidence require your approval before sending
• Complying with CAN-SPAM, GDPR, CCPA, Shopify Partner Program policies, and all applicable laws
• Ensuring your Postmark configuration and sending domain are properly verified

4. Agentic AI System — Scope and Limitations

You acknowledge and agree that:

• The agents operate autonomously within your configured policy constraints
• Shadow mode may run the rules engine in parallel with the AI for comparison — this does not affect actual sends
• Agent decisions are probabilistic — high confidence does not guarantee commercial outcomes
• CustomerBehaviorSignals accumulate over time and influence future decisions
• You retain full control via the Global Kill Switch in Settings

5. Intellectual Property

The App, IntentSense Factory, and all agent systems are owned by RaeJax Inc. You retain ownership of your store data and configuration inputs.

6. Billing

Billing is handled through the Shopify App Store under Shopify's billing terms. RaeJax Inc. may update pricing with notice.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT SPECIFIC REVENUE RECOVERY OUTCOMES, UNINTERRUPTED SERVICE, OR THAT AGENT DECISIONS WILL ACHIEVE ANY PARTICULAR RESULT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAEJAX INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Termination

You may terminate by uninstalling the App. We may suspend access for Terms violations with reasonable notice. Upon termination, data deletion proceeds per our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the State of [Your State], United States.

11. Changes

We may update these Terms with notice. Continued use constitutes acceptance.
